1. Retainer and Payment. Upon your signature, Photography by Shannon Rae will reserve the time and date agreed upon and will not make other reservations for that time and date. The Client(s) shall make a non-refundable deposit of $300 to Photography by Shannon Rae to perform the services specified herein or otherwise agreed upon amount. Upon payment, Photographer will reserve the time and date agreed upon by both parties exclusively for you. The full amount of the collection fee + any agreed upon additional fees must be paid two weeks prior to the date of event. No photos shall be released until full payment is made. 2. Cancellation. Client(s) understands and agrees that Photographer will not book other sessions or weddings during this time. In the event that Client(s) cancels the wedding or fails to attend the session date, for any reason, Photographer shall suffer losses that are difficult to ascertain. Deposit will NOT be refunded due to the client's error. Once a balance is paid, it is non-refundable. 3.Rescheduling/Late Arrivals. In the event that the Client(s) requests to reschedule their wedding, the retainer shall be applied to a rescheduled session if notice is given at least 4 months prior to the scheduled event. A $500 rescheduling fee will apply. Any Client(s) that is late arriving to the scheduled amount of coverage will have the amount of time allotted for session. 4. Artistic Rights. The Photographer retains the right of discretion in selecting the photographic materials released to the client(s). Client(s) agrees and understands that the Photographer, in her sole discretion, decides what images taken during the session will be edited and released to the client. Not all images taken during the session will be presented to the Client(s). Photographer does not release unedited and/or RAW images under any circumstance. The Client(s) is responsible for making electronic backup copies of any digital files and for keeping them in a safe place. Photographer is not required under any circumstance to re-edit any completed photographs and maintains artistic rights to editing the images. 5. Photographic Materials. All photographic materials, including but not limited to negatives, transparencies, proofs and previews, shall be the exclusive property of the Photographer. The Photographer shall make completed edited photographs available through an online gallery website and/or USB sent via mail. When the online gallery is delivered, it shall remain open for 2 months from delivery date. Photo images are never watermarked or locked. 6. Copyright and Reproductions. The photographer shall own the copyright in all images created and shall have the exclusive right to make reproductions for, including but not limited to, marketing materials, portfolio entries, sample products, editorial submissions and use, or for display within or on the Photographer’s website and/or studio. It is understood that any duplication or alteration of original images is strictly prohibited {Copyright Law Title 17, Appendix V. Additional provisions of the Digital Millennium Copyright Act 2005, Section 102} without the written permission of the Photographer .The Client(s) grant the Photographer and its legal representatives, heirs and assigns, the irrevocable and unlimited consent to use the photographs of the Client(s) for editorial, competition, advertising and any other purpose and in any manner, to alter the photographs without restriction; and to copyright the images. The Client(s) hereby release the Photographer and its legal representatives, heirs and assigns from all liability and claims in connection with the images. 7. Client’s Usage. The Client(s) shall only use the digital files in accordance with the permissions of within this agreement. Printing rights are granted. The Client’s prints are for personal use only and shall not be submitted into contests, reproduced for commercial use or authorize any reproductions by parties other than the Photographer. 8. Social Media. The Client(s) may share blog post links, Instagram posts, and Facebook albums through use of the share functions and dissemination or direct links or in any fashion the photographer provides. Client(s) shall not copy, screenshot, or capture the photographs in any other fashion. {Ex. Saving or screenshot on Facebook/Instagram}/ Client(s) must credit Photography by Shannon Rae in any posts or shares of their own.
9. Capturing Desired Photographs. The Client(s) will be responsible for designating an Event Planner and Guide, if desired. The role of the Event Planner/Guide is to identify people/objects of whom/which specific photographs are desired, as well as to make certain that these subjects are available when needed. It is recommended that the client(s) develop a list of desired poses, locations, and subjects (family and friends; items; ect) and share this with the Event Planner or Photographer prior to the wedding. The Photographer will NOT be held accountable for not capturing desired photographs if there is no one to assist in identifying or gathering people/items/locations for the photograph(s). The Parties agree to positive cooperation and communication for the best possible result within the definition of this agreement. Photography by Shannon Rae is not responsible for key individuals’ failure to be present or to cooperate during photographer session, neither for missed images due to details not revealed to Photography by Shannon Rae. Photography by Shannon Rae will not be held liable if the client(s) fails to schedule bridal or couples photographs with adequate time or available lighting. Photography by Shannon Rae is not liable for missed photographs due to poor scheduling of the client or event planner. 10.House Rules. Note that Photographers are sometimes limited by rules imposed by registrars, ministers and venue management as to what can and cannot be done. For example some ministers insist that no flash photography is allowed, and others will insist that the Photographers shoot from a specific location. In such circumstances the Client(s) agree to accept the technical limitations that may be imposed on the equipment used. We advise the Client(s) to make themselves aware of the rules of the venue concerned and if necessary negotiate with the personnel concerned. 11. Sole Photographer. It is understood that Photography by Shannon Rae will act as the sole and exclusive wedding photographer/photographers. If a second photographer is preferred by the client(s), additional fees will be applied. Since flashes from guests’ cameras and guests blocking ceremony shots may ruin shots taken, the client(s) acknowledge(s) that they are responsible for notifying their guests that guest photography shall be limited and not at the expense of the professional photographer’s work. 12. Failure to Perform. If the Photographer is unable to perform this agreement due to illness, pregnancy, emergency, fire, casualty, strike, unsafe environment, threat, act of God, unforseen conflicts, or causes beyond the control of the Photographer, the Photographer will not be held liable for missing scheduled session coverage. All efforts shall be made by Photographer to engage a competent replacement photographer. Photographer will arrive at the wedding at the best of their abilities. Further, if the Photographer is unable to deliver photographic materials due to technological malfunctions, including but not limited to camera and processing or otherwise lost or damaged without fault of the Photographer, liability shall be limited. The limit of liability shall not exceed the contract price stated herein. Photography by Shannon Rae will not be held responsible for any ruined photographs due to guests’ (or any other) flashes; poor venue lighting, backlit lighting; or any other ruined photographs due to any other cause in or outside of Photographer’s control. 13. Substitute Photographer. The Photographer reserves the right to substitute with another photographer in the case of failure to perform as stated above. The substitute photographer is chosen at the discretion of the Photographer and does not constitute a breach in this agreement. The Photographer warrants the substitute photographer to be of a comparable quality and professionalism. 14. Photographer’s Standard Price List. The charges in this agreement are based on the Photographer‘s standard price list. This price list is adjusted periodically and future orders shall be charged at the prices in effect at the time when the order is placed. 15. Indemnification: The Photographer shall be held harmless for any and all injury to Client(s) during the course of the photography session and the immediately surrounding events. 17. Miscellany. This Agreement incorporates the entire understanding of the parties. Any modifications of this Agreement must be in writing and signed by both parties. Any waiver of a breach or default hereunder shall not be deemed a waiver of a subsequent breach or default of either the same provision or any other provision of this Agreement. 18. Permits and Entry Fees. It is the Client’s responsibility to obtain permission for entry and any necessary photography permits and to advise the photographer of any restrictions or policies in place at all applicable locations. All permit and entry fees are to be paid by the client. Client(s) will be issued an invoice for any valet parking, street parking, entry, photography, fees or permits if left unpaid by the wedding date. Client(s) is to pay the invoice within 30 days. It is highly encouraged to obtain vendor parking permits/valet parking passes/vendor parking permits before the wedding date. 19. Counterparts; Electronic Signatures. This Agreement may be signed in any number of counterparts, each of which shall be deemed as original, and all signatures together shall constitute one and the same agreement shall be signed electronically which will be fully binding.
